Resum
The aim of this paper is to analyze the most relevant procedural questions of the judicial proceeding against the resolution of the General Directorate of Registers and Notaries at the time of rejecting or appointing an independent expert to assess the shareholder´s stocks or shares. In these cases, when no agreement is reached between the company and the shareholder on the fair value of shareholder´s stocks or shares, the person to rate or, finally, the procedure to be applied for the assessment in accordance with article 353, Spanish Corporate Enterprises Act.
